Other Events.

On November 15, 2007, GSC Investment Corp. (the “Company”) issued a press release announcing that its Board of Directors has declared a dividend of $0.38 per share payable on December 3, 2007 to common stockholders of record on November 30, 2007. The dividend is for the third quarter of the Company’s 2008 fiscal year ending November 30, 2007. A copy of the press release is attached hereto as Exhibit 99.1, the text of which is incorporated by reference herein.

$0.38 per Share

NEW YORK, November 15, 2007 – GSC Investment Corp. (NYSE:GNV), a business development company today announced that its Board of Directors has declared a dividend of $0.38 per share payable on December 3, 2007 to common shareholders of record on November 30, 2007.  The dividend is for the third quarter of the Company’s 2008 fiscal year ending November 30, 2007.
